Intuit QuickBooks Stanley Cup® Final Contest (the “Contest”)
Official Rules
NO PURCHASE, PAYMENT, OBLIGATION, OR FINANCIAL DISCLOSURE OF ANY KIND IS NECESSARY TO ENTER OR WIN THE PRIZE. A PURCHASE, PAYMENT OR FINANCIAL DISCLOSURE WILL NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED BY LAW.
ELIGIBILITY: The Contest is only open to legal residents of Canada, including Quebec, who are eighteen (18) years of age or older or the age of majority in their province or territory of residence, established at the time of entry (the “Entrant”). The following persons are not eligible to enter the Contest or win the prize: (a) employees, officers, directors, agents, representatives or any independent contractors (provided that the independent contractors act as service providers in relation to the Contest) of Intuit Canada ULC. (the “Sponsor”), its affiliates, subsidiaries, and advertising agencies, the National Hockey League (“NHL”), its member clubs, NHL Enterprises, L.P., NHL Enterprises Canada, L.P., NHL Enterprises, B.V., NHL Interactive CyberEnterprises, LLC (the foregoing NHL entities collectively, the “NHL Entities”), Marden-Kane, Inc. (the “Administrator”); (b) the immediate families (spouse, parents, step-parents, children, step-children, siblings and their respective spouses) of such employees, officers, directors, agents, representatives and independent contractors (the persons referenced in (a) and (b), collectively the “Releasees”); (c) individuals living in the same household as such employees, officers, directors, agents, representatives or independent contractors; (d) any person who has won a prize from any promotion (including contests) sponsored by the Sponsor within the previous fourteen (14) months of the end of the Entry Period (as defined below); (e) any officer or employee of a government or any department, agency, or instrumentality thereof, or of a public international organization, or any person acting in an official capacity for or on behalf of any such government or department, agency, or instrumentality, or for or on behalf of any such public international organization, or institution in any jurisdiction; and (f) any person or entity: (i) appearing on any sanctions lists maintained by applicable jurisdictions prohibiting transactions with certain entities, people and jurisdictions; or (ii) doing business in jurisdictions comprehensively sanctioned by the US and/or Canada as applicable under law. Each Entrant by participating in the Contest acknowledges having read these Official Rules, and fully and unconditionally agrees to be bound by the Official Rules and the Sponsor’s decisions which are final and binding on all Entrants. Void where prohibited or restricted by law. The Contest is subject to all applicable federal, provincial/territory and local laws and regulations.
ENTRY PERIOD: The Contest begins on April 28, 2025 at 12:00:00 AM Eastern Time (“ET”) and ends on May 16, 2025 at 11:59:59 PM ET (the “Entry Period”). Entries must be received within the Entry Period. The Sponsor’s computer, or that of its designee, runs the official clock for the Contest and will solely determine the time by which an entry is received.
TO ENTER: To enter the Contest during the Entry Period:
● Go to www.instagram.com or the Instagram app and log into your Instagram account;
● Follow @QuickBooksCA;
● Like the Contest-related post;
● Comment on the Contest-related post using the hashtag #QuickBooksStanleyCupFinalContest, and
● Tag a local small business that you love to support in your comment.
An entry is not valid without each step, including the hashtag “#QuickBooksStanleyCupFinalContest”.
Limit: There is a limit of one (1) entry per person per day.
Each Entrant must have an Instagram account. Each Entrant may only use one (1) Instagram account that belongs to him or her to participate in the Contest. Any Entrant who uses more than one (1) Instagram account to participate in the Contest may be disqualified and the prize won by such Entrant may be forfeited, subject to the Sponsor’s sole discretion. If there is a dispute regarding the identity of an Entrant, the entry will be deemed to have been submitted by the Instagram account holder at the time of entry. Entries will not be acknowledged or returned. Entries that do not comply with these Official Rules will be disqualified.
PRIZE/ODDS: There will be a total of one (1) prize winner (the “Winner”). The Winner will receive two (2) tickets (for Winner and one (1) guest) to a 2025 Stanley Cup® Final game, as determined by the Sponsor (the “Prize”). Approximate Retail Value (“ARV”): $1,700.00 CAD.
The odds of winning the Prize depend on the total number of eligible entries received during the Entry Period.
Additional Prize Conditions:
● Transportation to/from the game, lodging, food and beverage and parking fees, and any other benefit other than as expressly included in the PRIZE/ODDS section above, are NOT included as part of the Prize.
● The Winner must be available to attend the game on the date/time specified by the Sponsor (which details will be provided with the Winner notification on the Notice Date, as defined below). If the Winner is unavailable to attend the designated game, the Winner may transfer the Prize to an immediate family member (spouse, parent, step-parent, child, step-child, sibling or their respective spouse, provided such immediate family member is eighteen (18) years of age or older or the age of majority in their province or territory of residence) who will be required to complete the Affidavit (as defined below), or the Winner will forfeit the Prize. The Winner’s guest may also be required to sign a Liability & Publicity Release prior to participating in the Prize.
● The venue of the 2025 Stanley Cup® Final game and/or the Sponsor reserves the right to revoke the full or partial Prize from the Winner and/or the Winner’s guest who it and/or venue personnel deem may, in their sole discretion, be intoxicated, be a safety risk, have violated any venue policy or law, and/or may bring the venue, the Sponsor or the NHL Entities into disrepute.
● The Sponsor is not responsible if the Prize is lost, stolen, misplaced or goes unclaimed by the Winner. The Prize will not be replaced for any reason.
● In the event that any portion of the 2025 Stanley Cup® Final game has to be cancelled or postponed, in whole or in part, for any reason whatsoever, including but not limited to an event of force majeure (e.g., natural disasters, weather, etc.), player injury or death, or an unforeseeable health event (e.g., pandemic or epidemic), or for any other reason, then terms and conditions as stated on the Prize (i.e., on the tickets to the 2025 Stanley Cup® Final game) will apply, and no other or additional compensation will be awarded. All federal, provincial/territory, local tax/duties (as applicable) and other tax liabilities (including income and withholding taxes) arising from Prize acceptance and use are the sole responsibility of the Winner.
● Except as provided herein, any transfer, assignment, conversion, or Prize substitution is not allowed except at the discretion of the Sponsor, who reserves the right where lawful to substitute the Prize (or component of the Prize) with one of comparable or greater value. If the Prize cannot be awarded due to circumstances beyond the control of the Sponsor, a substitute prize of equal or greater retail value will be awarded; provided, however, that if the Prize is awarded but unclaimed or forfeited by the Winner, a prize may not be re-awarded, in the Sponsor’s sole discretion. By accepting the Prize, the Winner acknowledges compliance with these Official Rules. In no event will more prizes be awarded than the Prize listed in these Official Rules.
RANDOM DRAWING: A random drawing to select the Winner will be conducted at approximately 12:00:00 PM ET on or about May 22, 2025 (the “Drawing Date”) by the Administrator at their office located at 575 Underhill Blvd. Suite 222, Syosset, NY, USA, 11791, from among all eligible entries received. The Administrator’s decisions are final and binding in all matters relating to this Contest.
WINNER NOTIFICATION AND VERIFICATION: An Entrant is not deemed the Winner, even if the winning notification should so indicate, unless and until: (a) the Entrant’s eligibility has been verified; (b) all requirements determined by the Sponsor in order to claim the Prize have been fulfilled; and (c) the Entrant has been notified that the acceptance and verification process is complete. The Administrator will notify the potential Winner via direct message to his/her provided Instagram account on or about two (2) business days after the Drawing Date (the “Notice Date”). The Winner must reply to the Administrator via Instagram direct message by 5:00:00 PM ET on the next business day following the Notice Date, and must provide the Administrator with his or her complete legal name, email address, mailing address, phone number, age, and place of legal residence (the “Required Information”) in the response. After receipt of the potential Winner’s direct message, the Administrator will make a maximum of five (5) attempts to either: (a) call the potential Winner at the phone number provided in the Required Information; or (b) email the potential Winner at the email provided in the Required Information; in each case over the span of two (2) business days in order to administer a time-limited mathematical skill-testing question via telephone or email, as applicable. The potential Winner will be required to correctly answer such question in the time limit indicated by the Sponsor prior to the awarding of the Prize. The potential Winner will be required to complete and sign an Affidavit of Eligibility and Liability Release and a Release of Personality Rights (collectively the “Affidavit”), which the Administrator will email to the potential Winner. The completed Affidavit must be returned within five (5) days from the Notice Date. The Sponsor may, in its sole discretion, request any additional documentation needed to verify the Winner. If a potential Winner: (i) cannot be contacted after a maximum of five (5) attempts have been made by the Administrator; (ii) fails to correctly answer the time-limited mathematical skill-testing question in the specified period; (iii) fails to timely provide the Required Information, or any other additional documentation; (iv) fails to timely return the Affidavit without alteration and in the form presented by Administrator; (v) refuses the Prize; (vi) is not verified by the Sponsor or the Administrator as being in compliance with these Official Rules; and/or (vii) the Prize or Prize notification is rejected or returned as undeliverable; then such potential Winner forfeits all rights to be deemed the Winner in the Contest and receive the Prize, and will be disqualified and an alternate potential Winner will be selected through a random drawing by the Administrator from the remaining entries. The Prize must be accepted as awarded. If the Prize is won by an eligible individual who is eighteen (18), but not of the legal age of majority in the province/territory of residence (“minor”), the required documents must be confirmed and signed by the Winner’s parent or legal guardian. By entering the Contest, Entrants, or, if a minor in their province of residence, their parent or legal guardian, consent and agree to the use by the Sponsor and its designees of their names, entry submission, cities and province and photographs/likenesses for advertising and promotional purposes for this Contest and similar promotions, worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised (including and without limitation, the Internet) without additional compensation, notification, or permission, except where prohibited by law. The Prize will be emailed by the Sponsor to the Winner within four (4) weeks of the Notice Date. The Sponsor will email the Prize to the Winner’s email address provided in the Required Information.
GENERAL CONDITIONS: Use of any automated entry software is prohibited. Electronically-reproduced, mechanically-reproduced, illegible, incomplete, or inaccurate entries are void. By participating, Entrants agree to comply with these Official Rules including all eligibility requirements. Decisions of the Sponsor and/or the Administrator will be final and binding on all matters relating to this Contest.
Internet access and usage charges, including charges applicable under the Entrant’s Internet pricing plan, and any applicable taxes, will continue to apply while an Entrant is online in connection with this Contest, and will be the sole responsibility of such Entrant.
Any attempt by an Entrant or any other individual to deliberately damage any online service or website or undermine the legitimate operation of this Contest may be a violation of criminal and civil laws and should such an attempt be made, notwithstanding anything to the contrary contained herein, the Sponsor reserves the right to seek damages and/or other remedies from any such person to the fullest extent permitted by law. The Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision.
These Official Rules may not be reprinted or republished in whole or in part without the prior written consent of the Sponsor. Entrants waive any right to claim ambiguity in these Official Rules.
REPRESENTATIONS AND WARRANTIES: The Winner acknowledges that the Prize is awarded as-is. The Sponsor and the NHL Entities make no representations, guarantees or warranties of any kind, whether express or implied, regarding the Contest, the Prize or any use of the Prize.
INDEMNITY, LIMITATION OF LIABILITY, AND RELEASE OF CLAIMS: By participating in the Contest, Entrants each agree to release, indemnify and hold harmless the Releasees, Instagram, and each of their respective parents, subsidiaries, and affiliates, and each of their respective agents, representatives, officers, directors, shareholders, licensees, assigns, sponsors, advertisers, partners, agencies, and employees from and against any and all injuries, death, losses, damages, claims, lawsuits, proceedings, causes of action, judgments, costs, expenses, liabilities, and damages of any kind resulting from, in connection with, or arising from the Contest including the acceptance, receipt, delivery, possession, loss, use, misuse or non-use of the Prize (including any travel or travel-related activity thereto). Neither the Releasees nor Instagram are responsible for (nor do they have any obligation towards): (a) any potential Winner or a Winner who is unable to claim, accept, or utilize the Prize; (b) any technical, computer, electronic, mechanical, printing, typographical, human, Internet, telephonic or other errors, malfunctions, interruptions, or delays relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the Prize, or in any Contest-related materials, and errors which may occur in any Internet hardware or software including with respect to Internet accessibility, availability or traffic congestion; (c) any stolen, lost, late, misdirected, damaged, incomplete, inaccurate, undelivered, delayed or illegible entries; (d) any unauthorized human intervention; (e) any incorrect or inaccurate Required Information, or the failure to capture, or the loss of, any Required Information; (f) any act of God, terrorist acts, earthquake, fire, flood, war, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), transportation interruption of any kind, work slow-down or shortage, civil disturbance, pandemic, or any other cause beyond the Sponsor’s control; (g) any action, regulation, order, or request by any governmental or quasi-governmental entities (whether or not they prove to be valid); or (h) any injury or damage, whether personal or real property, to any Entrant’s or to any person's computer or device related to or resulting from participating in this Contest and/or accepting the Prize. If, for any reason, an entry is confirmed to have been erroneously deleted, lost or otherwise destroyed, corrupted or for any other reason not accepted as an entry into the Contest, the Entrant’s sole remedy is to submit another entry provided that the Entry Period has not expired.
If, in the Sponsor’s opinion, for any reason this Contest is not capable of running as planned, or there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if computer viruses, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Contest, the Sponsor reserves the right at its sole discretion to disqualify any individual (and void his/her entry and/or prevent him/her from future participation in the Contest) who tampers with the entry process and/or who is acting in violation of these Official Rules, to modify or suspend the Contest, or to terminate the Contest and at the Sponsor’s discretion conduct the drawing to award the Prize using all eligible non-suspect transactions and entries received as of the termination date.
As a condition of entering the Contest, Entrants agree that: (a) under no circumstances will Entrants be permitted to obtain awards for, and Entrants hereby waive all rights to claim, injunctive or equitable relief, or punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses incurred (if any), which are not to exceed one hundred Canadian dollars (Cdn$100.00); (b) all causes of action arising out of or connected with this Contest, or the Prize awarded, shall be resolved individually, without resort to any form of class action; and (c) in no event shall Entrant be entitled to receive legal fees or other legal costs.
DISPUTES: Most disagreements can be resolved informally and efficiently by contacting the Sponsor. EACH ENTRANT AND THE SPONSOR AGREE THAT, EXCEPT AS PROVIDED BELOW, ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING IN ANY WAY TO THE CONTEST OR THESE OFFICIAL RULES (A “CLAIM”) WILL BE DETERMINED BY BINDING ARBITRATION OR ONTARIO’S SUPERIOR COURT OF JUSTICE.
Informal Resolution. Each Entrant and the Sponsor agree that good-faith informal efforts to resolve disputes often can result in a prompt, low-cost and mutually-beneficial outcome. Each Entrant and the Sponsor therefore agree to personally and promptly meet, via telephone or videoconference, in a good-faith effort to confer with each other and try to resolve informally any Claim. If an Entrant is represented by counsel, such counsel may participate in the meeting as well, but each Entrant agrees to fully participate in the meeting. Likewise, if the Sponsor is represented by counsel, its counsel may participate in the meeting as well, but the Sponsor agrees to have a company representative fully participate in the meeting. The statute of limitations and any filing fee deadlines shall be suspended while the parties engage in the informal dispute resolution process required by this paragraph.
Commencing Arbitration or Proceedings. If an Entrant and the Sponsor do not reach an agreement to resolve the relevant claim within sixty (60) days after the date of the first meeting above, the Entrant or the Sponsor may commence an arbitration proceeding pursuant to the Arbitration Act, 1991 (Ontario) or any successor legislation, or, alternatively, by filing a Claim in Ontario’s Superior Court of Justice. Each Entrant agrees not to commence any arbitration or file a claim in Ontario’s Superior Court of Justice unless the Entrant and the Sponsor are unable to resolve the claim within 60 days after the date of the first meeting above and the Entrant has made a good faith effort to resolve the Claim directly with the Sponsor during that time. If a Claim qualifies for Ontario’s Superior Court of Justice, but a party commences an arbitration proceeding, no party may then elect to instead to have the Claim resolved in Ontario’s Superior Court of Justice.
Arbitration Proceedings: Arbitrators. There shall be one arbitrator appointed by the mutual agreement of the applicable parties to the arbitration, failing which any party to the arbitration may on notice to the other party(ies) to the arbitration apply to a judge of an Ontario court to appoint an arbitrator. The arbitrator shall be deemed to be acting as an arbitrator pursuant to the provisions of the Arbitration Act, 1991 (Ontario). The arbitrator shall have the power to obtain the assistance, advice or opinion of any expert as the arbitrator may think fit and shall have the discretion to act upon any assistance, advice or opinion so obtained. The seat for the arbitration shall be Toronto, Ontario, and all hearings will take place in person or by video-conferencing facilities, unless agreed otherwise by the relevant parties.
Decisions. An arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. Any award shall be binding only among the parties and shall have no preclusive effect in any other arbitration or other proceeding involving a different party. The Sponsor will not seek to recover its legal fees and costs from an Entrant unless the arbitrator or Ontario’s Superior Court of Justice finds that either the substance of the Entrant’s claim or the relief sought by the Entrant was frivolous or was brought for an improper purpose. The decision of the arbitrator or Superior Court of Justice shall be final and binding upon the parties as to the matter in dispute.
PRIVACY: By entering the Contest, Entrants agree to the Sponsor’s use of the Entrant’s personal information in accordance with Canada’s Personal Information Protection and Electronic Documents Act and the Sponsor’s privacy statement available at https://www.intuit.com/privacy/statement/. Information collected from Entrants is used only for the purpose of determining eligibility, awarding the Prize, operating the Contest consistent with the Official Rules and to notify the potential Winner, and will not be re-used, sold or shared in any manner by the Sponsor or any third parties unless Entrant has opted-in to receive additional information and promotional material from the Sponsor or a third party.
WHO WON: After all requirements of the “WINNER NOTIFICATION AND VERIFICATION” section of these Official Rules have been satisfied, the Sponsor will post to its Instagram story identifying the Instagram account of the Winner, and will update the caption on the relevant Contest Instagram post to indicate that the Contest has closed and that a Winner has been determined. The identity of the Winner (name, province/territory, Instagram account) and a copy of these Official Rules will be made available on request to anyone that emails a written request for same to the Sponsor with the subject line: “QuickBooks Road to The Cup Winner” to winnerslist@mkpromosource.com. Requests must be received no later than June 10, 2025. The information will be sent within two (2) weeks of the request or within two (2) weeks of the date Winner is verified, whichever occurs later.
GOVERNING LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of the Entrants or the Sponsor in connection with the Contest shall be governed by the laws of the province of Ontario.
SEVERABILITY: If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
