and the upload is an overwrite it does NOT update the QBO file

I've got some troubleshooting solutions we can perform to upload your updated file into QuickBooks Onlne (QBO), mwells.
What specific error message you've encountered? When importing the Desktop file into QBO, let's make sure QuickBooks is up-to-date to the latest release. Then, ensure your company file isn’t too big to export.
Also, you can only move a company file within 60 days after signing up with your Online account.
